Quito, Ecuador – March 10, 2026 – BUSTAMANTE FABARA, a leading law firm recognized for its strength in mergers and acquisitions and its extensive experience in complex cross-border transactions, is pleased to announce its role as Ecuadorian legal counsel to Alicorp, the Peruvian food and consumer goods company of Grupo Romero, in the acquisition of 100% of Flora Food’s operations in Ecuador, as part of a regional transaction spanning seven jurisdictions in Latin America.
Alicorp has signed an agreement to acquire 100% of the shares of several Flora Food group companies in Guatemala, Panama, the Dominican Republic, Colombia, Ecuador, Peru and Chile, in a cross-border transaction that reflects the ongoing consolidation of the food and consumer goods sector in the region.
Flora Food is an international company specializing in plant-based food products and nutrition, whose portfolio includes widely recognized brands across Latin America, such as La Danesa, one of the most established margarine brands in several regional markets, as well as Dorina and Bonella, which are well known in the Ecuadorian market.
The multidisciplinary team at BUSTAMANTE FABARA is co-led by partners Juan Felipe Bustamante Crespo and José Rafael Bustamante Crespo, together with director Pedro Gómez de la Torre, with the support of senior associates Valentina Morillo, Carolina Echeverría, Camila Sánchez and José Antonio Bustamante, and associates Ángeles Mancheno and Jerónimo Villagómez, who are advising on the Ecuadorian aspects of the transaction.
The closing of the transaction remains subject to the fulfilment of the applicable regulatory approvals in the relevant jurisdictions.
