General Regulation to the Organic Law of National Solidarity, Delimitation of Corporate Purpose for Simplified Joint Stock Companies

Through the General Regulations to the Organic Law of National Solidarity (Executive Decree No. 54, Official Register Supplement 81 of July 15, 2025), a direct restriction is established on the activities of simplified joint stock companies (SAS) in Ecuador, which may not engage in the following activities:

  • Financial operations
  • Securities market
  • Insurance
  • Mining
  • Strategic sectors: energy, telecommunications, non-renewable natural resources, hydrocarbons, biodiversity, radio spectrum, water, among others defined by law.

SAS companies incorporated prior to the publication date of the Organic Law of National Solidarity that are engaged in the aforementioned activities must, within a six-month period, proceed to:

  • Convert into another type of company permitted by law,
  • Amend their bylaws to eliminate the prohibited activities, or
  • Voluntarily dissolve and liquidate.

If the company does not carry out the respective amendment to its bylaws, modifying its corporate purpose or converting into another type of company before January 15, 2026, it will be subject to mandatory dissolution by the Superintendency of Companies, Securities and Insurance.

Permits and authorizations granted prior to the issuance of the Organic Law of National Solidarity to simplified joint stock companies engaged in mining or strategic sector activities will remain valid for a period of six months from the date of publication of the Regulations in the Official Register. Within this period, the company must proceed with its transformation. Since the transformation does not change the legal personality of the company, which continues to exist under the newly adopted form, no additional documentation will be required for the granting of new permits, other than the duly registered public deed evidencing the transformation of the company type.
